ProPair Terms of Service

1. Acceptance of Terms
By accessing or using the ProPair mobile application ("Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
ProPair is a B2B marketplace platform connecting home-service companies with independent field technicians. ProPair facilitates job dispatch, first-come-first-served claiming, and asynchronous financial settlement via Stripe Connect.
3. Account Registration
- You must provide accurate and complete information during registration
- You are responsible for maintaining the security of your account
- You must be at least 18 years old to use the Service
- One active device session per account is enforced
4. Platform Role
ProPair is a marketplace facilitator, not an employer. Field technicians are independent contractors. ProPair does not control the manner or means of service delivery. ProPair does not act as a Money Transmitter; Stripe Connect is the Merchant of Record for all financial transactions.
5. Financial Terms
- Platform fees are calculated as a percentage of net job revenue (after parts costs)
- Settlement occurs on a weekly batch cycle (Monday 06:00 UTC) via Stripe Connect
- Technicians operating in the Cash-Only Sandbox must link Stripe Connect before exceeding the sandbox threshold
- Disputes follow a 2-round peer arbitration process before mandatory admin escalation
- Clawbacks are recorded as new debit ledger entries; existing entries are never mutated
6. Prohibited Conduct
- GPS spoofing or location falsification
- EXIF data manipulation on closure evidence
- Creating multiple accounts or circumventing device restrictions
- Submitting fraudulent closure amounts or part costs
- Brokering jobs to unlicensed third parties
7. Suspension and Termination
ProPair may suspend or terminate accounts for violations of these Terms, including but not limited to: sustained dispute rates exceeding 3x platform mean, GPS spoofing detection, or fraudulent financial activity.
8. Limitation of Liability
ProPair is not liable for the quality of services provided by technicians, disputes between companies and technicians, or off-platform payment failures. Our liability is limited to the platform fees collected in the 12 months preceding any claim.
9. Dispute Resolution
Platform disputes follow the built-in 2-round arbitration process. Legal disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.
